From the Incorporation paperwork dated March 7, 1990:
“The purpose of the Big Ten Band Directors Foundation is to bring outstanding composers to the Midwest Band and Orchestra Clinic, to commission musical compositions from major composers, and to contribute to the musical environment of the areas it serves.”

By-Laws
article I - office
The principal office of the Foundation shall be located in Glenview, Illinois. The Foundation may not have such other offices, either within or without the State of Illinois, as the affairs of the Foundation may require, or the Directors shall determine, from time to time.
article II - Membership
The members of this Foundation shall be the “Director of Bands” at each of the “Big Ten” Schools.

Annual and Special meetings; place of meeting; notice of meetings; register of members; quorum; voting; informal action.
article IV - Board of Directors
Number, Term of Office, and Vacancies; Powers; Regular Meetings; Special Meetings; Notice; Place of Meetings; Quorum; and Informal Action
article V - Officers
Number; Election and Term of Office; Removal, President; Vice President; Treasurer; Secretary; Assistant Treasurers and Assistant Secretaries
article VI - Identification of directors + Officers
article VII - Seal
The Board of Directors shall provide a seal for the Foundation which shall be in the form of a circle and shall have inscribed thereon the name of the Foundation and the words “Corporate Seal, Illinois”.
article VIII - Fiscal Year
The fiscal year of the Foundation shall begin on the first day of January in each year and shall end on the last day of December in each year.
article IX - Waiver of notice
Whenever any notice whatever is required to be given under the provisions of these By-Laws or under the provisions of the Articles of Incorporation or under the provisions of the statutes of the State of Illinois, a waiver thereof, in writing, signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice.
article X - Special provisions
Financial participation will be at the option of each Director of Bands at each of the Big Ten Universities, but only those Universities who contribute such financial support will be entitled to participate in this Foundation’s activities.
article XI - ammendments
These By-Laws may be altered, amended or repealed and new By-Laws may be adopted by any meeting of the Board of Directors of the Foundation by a majority vote of the Directors at the meeting.
